1. BINDING AGREEMENT
By accessing this website and purchasing services from CleanSystem Training (“the Company”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions, our Privacy Policy, and our Intellectual Property & Legal Agreement. If you do not agree with any part of these terms, you must not use our services.
2. SERVICES & PRODUCTION SCOPE
CleanSystem Training provides specialized video editing and training module assembly.
- Client Input: Our production is based entirely on the data provided by the Client via our Intake Forms and raw footage submissions.
- Modifications: Any changes requested after the project has moved into the production phase that fall outside the original scope (as defined in the Intake Form) may incur additional fees.
- Delivery: Final products are delivered via Dropbox. It is the Client’s responsibility to download and secure their files upon delivery.
3. FEES AND PAYMENT
- Currency: All prices are charged in the currency displayed at the time of checkout (typically USD for international customers and AUD for Australian customers) unless otherwise stated.
- Payment Terms: Full payment is required at the time of purchase unless a formal installment plan has been agreed upon in writing.
- Refund Policy: Due to the bespoke, digital nature of our services, refunds are not provided once work has commenced on your project. If you encounter technical issues with your files, we will work with you to rectify them.
4. INTELLECTUAL PROPERTY & USAGE LICENSE
All services are subject to the CleanSystem Training Intellectual Property & Legal Agreement, which is incorporated into these terms by reference. Key highlights include:
- Watermarking: You acknowledge that a permanent, burned-in CleanSystem Training watermark will be applied to all footage.
- Internal Use Only: Your final video is licensed for your internal business use only. Redistribution, resale, or sub-licensing is strictly prohibited.
- Ownership of Process: Our intake forms, shot lists, and methodology remain our exclusive IP.
5. CLIENT WARRANTIES & CONDUCT
You warrant that:
- You have the legal authority to enter into this agreement.
- All information provided in the Intake Form is accurate and safe to implement.
- You have obtained all necessary "Model Releases" and property permissions for the footage submitted.
- You will not use our services for any illegal or unethical purposes.
6. LIMITATION OF LIABILITY
To the maximum extent permitted by law, including the Australian Consumer Law:
- CleanSystem Training shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, property damage, or personal injury arising from the use of the training materials.
- Our total liability for any claim arising out of or relating to our services shall not exceed the total amount paid by the Client for the specific service in question.
7. INDEMNITY
You agree to indemnify and hold CleanSystem Training, its directors, employees, and contractors harmless from any claims, actions, or demands, including legal fees, resulting from your breach of these Terms or your violation of any law or the rights of a third party.
8. TERMINATION OF SERVICE
We reserve the right to terminate your service and revoke your usage license immediately, without refund, if:
- You breach any part of the Intellectual Property & Legal Agreement.
- You remove or obscure the mandatory CleanSystem Training watermark.
- You engage in conduct that is defamatory or harmful to CleanSystem Training.
9. GOVERNING LAW & JURISDICTION
These Terms and Conditions are governed by and construed in accordance with the laws of South Australia, Australia. You irrevocably submit to the exclusive jurisdiction of the courts in that State for any disputes arising out of these Terms.
10. SEVERABILITY
If any provision of these Terms is found to be invalid or unenforceable by a court of law, such invalidity or unenforceability will not affect the remainder of the agreement, which will continue in full force and effect.
